Part 1

Terms of Business.

1. Service Agreement

This Agreement applies to all Services (PPC, SEO, Web Development, Content, and Consultancy) provided by Profitable Sites Ltd ("the Agency") to "the Client." This Agreement is triggered by any order placed via email, invoice, or payment for services.

2. Terms & Rolling 30-Day Notice

  1. Services operate on a rolling 30-day basis starting from the first payment.
  2. Cancellation: To avoid the next month's invoice, written notice must be given at least 30 days prior to the next scheduled billing date.
  3. Final Month: If notice is given less than 30 days before the next bill, that final invoice remains payable in full. No pro-rata refunds.
  4. Handovers: Account access and final handovers are only completed once all outstanding invoices are paid in full.

3. Fees, Payments & Refunds

  1. All fees are payable in advance.
  2. No Refunds: Once payment is made, there are strictly no refunds for any reason.
  3. Annual Increase: Fees increase by 5% every 12 months on the anniversary of your start date to cover rising software and operating costs.
  4. Late Payments: Invoices are due within 3 days. We reserve the right to suspend all services if an invoice is 7 days overdue.
  5. Extra Work: Any work outside the originally agreed scope is billed at £150 per hour.

4. Client Responsibilities & Security

  1. Access: The Client must provide all necessary logins (Website, Google Ads, GA4, GMC).
  2. Backups: For web/Shopify work, the Client is solely responsible for daily backups. The Agency is not liable for data loss.
  3. Malware: We are not responsible for hacking or security breaches. Maintenance services are "reasonable endeavours" and do not guarantee 100% security.
  4. Compliance: The Client must ensure their business follows Google Ads Policies. We are not liable for account suspensions caused by Client policy breaches.

5. PPC & Google Ads Power Clauses

  1. Ad Spend: The Client pays Google (or other platforms) directly.
  2. Payee Liability: If the Agency is billed for the Client's ad spend, the Client must reimburse the Agency immediately plus a 10% admin fee.
  3. Lock-out: The Agency reserves the right to revoke access to Google Ads, GA4, and GMC if any fees (Management or Ad Spend) are unpaid.

6. Liability & Legal

  1. Liability Cap: Our total legal liability is limited to the total Management Fees paid to us during the 3 months preceding a claim.
  2. No Indirect Loss: We are not liable for "lost profits," "lost sales," or third-party platform downtime (e.g. Shopify or Google glitches).
  3. Indemnity: The Client is responsible for ensuring they own the rights to all images and text provided to the Agency.
  4. Disputes: We agree to try and settle any arguments through honest, good-faith negotiation before involving lawyers.
  5. Jurisdiction: This agreement is governed by the laws of England and Wales.
Part 2

Website Terms of Use.

1. Introduction

Welcome to profitablesites.com. These terms outline how you may use our website. By accessing this site, you accept these terms in full. If you do not agree, please stop using the site immediately.

We own (or license) all intellectual property and materials on this website. You may print or download one copy of our pages for your personal reference, but you must not modify any materials or use them for commercial purposes without a licence from us.

The content on our site is provided for general information only. It is not intended to amount to advice on which you should rely. We make no guarantees that the content is accurate, complete, or up to date.

5. Limitation of Liability

To the extent permitted by law, Profitable Sites Ltd will not be liable for any loss or damage (including loss of profits or business interruption) arising from your use of, or inability to use, our site. This does not affect our liability for death or personal injury caused by our negligence, or any other liability that cannot be excluded by English law.

6. Client Contracts

Any contract for services formed through your use of this site or following a quote is governed by our Terms of Business (detailed in Part 1 above).

7. Prohibited Uses

You must not misuse our site by knowingly introducing viruses, malware, or other technologically harmful material. You must not attempt to gain unauthorised access to our site, server, or database. A breach of this is a criminal offence under the Computer Misuse Act 1990.

8. Linking to Our Site

You may link to our home page provided you do so in a way that is fair and legal and does not damage our reputation. You must not establish a link in such a way as to suggest any form of association or endorsement where none exists.

9. External Links

Where our site contains links to third-party sites, these are provided for information only. We have no control over the contents of those sites and accept no responsibility for them.

10. Jurisdiction

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.

Privacy & Cookie Policy.

1. Introduction

Profitable Sites Ltd ("we," "us") is committed to protecting your privacy. This policy explains how we handle personal data collected through profitablesites.com in accordance with UK GDPR.

  • Google Workspace: Stores and delivers our business email correspondence.
  • Google Ireland Ltd: For Analytics (GA4) and ad tracking.

5. Your Rights

Under UK GDPR, you have the right to:
